XRP Treasury Firm Evernorth Faces $677M Gap After Listing

Evernorth made its Nasdaq debut under the ticker XRPN on Monday, October 12, with approximately 473 million XRP and $300 million in gross cash. At the closing reference price, its XRP holdings were valued at about $677 million, substantially below the more than $1 billion funding figure reported earlier.

The listing gives investors a way to gain exposure to XRP through a traditional brokerage account without directly owning the cryptocurrency. However, the gap between the original funding narrative and the closing valuation highlights the trade-offs involved, including token-price volatility, limited share liquidity, and the risk of dilution.

Evernorth completed its merger with special purpose acquisition company Armada Acquisition Corp. II on Friday, October 9. Its $677 million XRP treasury valuation is based on a token price of $1.43, compared with $2.37 when the transaction was signed in October 2025. This represents a decline of approximately 40% between the two reference points.

The company’s treasury of roughly 473 million XRP was a major factor shaping expectations ahead of its listing. The latest valuation demonstrates how quickly changes in XRP’s market price can alter the perceived value of an equity built around cryptocurrency holdings.

XRPN Provides Indirect XRP Exposure Through the Stock Market

Investors can purchase XRPN through an ordinary brokerage account rather than managing XRP directly. However, shares in Evernorth are not interchangeable with the token itself. Shareholders own part of a company with cash reserves, business plans, operating costs, and financing commitments, so the stock can trade differently from the value of its underlying assets.

Evernorth falls into the digital asset treasury (DAT) category. Investors commonly assess these companies using the market-value-to-net-asset-value ratio, or mNAV, which compares a company’s market capitalization with the net value of its cryptocurrency holdings and other assets.

If shares trade above net asset value, a company may be able to raise money by issuing stock at a premium and using the proceeds to purchase more tokens. When shares trade below net asset value, issuing additional shares can dilute existing shareholders’ ownership and reduce their proportional claim on the business.

XRPN also entered the market with a particularly small public float following the SPAC transaction. Approximately 80.3% of Armada’s public shareholders, representing 18.5 million shares, redeemed their holdings at around $10.58 per share. This removed about $195 million before the merger closed, leaving roughly 4.5 million original public shares available for trading. Such a limited float can amplify price swings, as relatively small orders may have a disproportionate impact.

The stock’s performance around the merger reflects that volatility. XRPN climbed to an intraday high of $53 on October 2 and closed that Friday at $39.42. By October 9, the date the merger was completed, it had dropped to $17.09. During its first Nasdaq session, the shares briefly neared $19 before declining to $16.64 by midday.

The company’s ownership structure is another important consideration. Filing data cited in the source lists SBI Holdings with 39.9% of voting shares, an Arrington Capital fund with 19.9%, and Ripple co-founder Chris Larsen with a 9.9% interest. Ripple and its affiliates cannot exceed 9.9% of voting power. Ripple, a trust associated with Larsen, and Arrington’s fund are also bound by six-month lock-up agreements that prevent share sales until April 2027.

XRP Market Performance and Treasury Execution Will Be Key

Evernorth intends to pursue activities beyond simply holding XRP. Its plans include generating returns through decentralized finance (DeFi) strategies and operating validators on the XRP Ledger, with the goal of increasing the amount of XRP represented by each share. On Monday, October 12, the company appointed Hugo Jeandesboz, formerly co-chief investment officer at Coinbase Asset Management, to lead these efforts.

These initiatives introduce additional execution risks beyond changes in XRP’s market price. DeFi strategies can expose the company to protocol vulnerabilities and operational challenges, while expenses, future share issuance, and treasury-management decisions will influence shareholder value.

Evernorth’s $300 million in gross cash provides a separate capital reserve, although the figure is measured before transaction costs. It does not eliminate the valuation risk associated with a treasury concentrated largely in XRP.

For investors monitoring developments in the XRP market, a rise in the token’s price could increase the value of Evernorth’s holdings. However, higher XRP prices alone would not prove that XRPN trades at an appropriate mNAV or that management is successfully increasing XRP per share. Similarly, if the stock trades below net asset value, raising additional capital could become more difficult despite the company’s substantial token reserves.

The Nasdaq listing makes Evernorth’s XRP-focused strategy accessible through publicly traded shares, allowing investors to observe its valuation premium or discount directly in the market. The company’s next planned public event is a Nasdaq closing-bell ceremony on Wednesday, October 14. Its warrants trade separately under the ticker XRPNW, allowing holders to purchase shares at $11.50 each.
